Try Costco.. I just bought a new one.. with all of the things you listed.. 5 MPs.. It was Panasonic.. $300 with a $30 mail in rebate. Not sure if you'll find one much better for cheaper though.

You should be able to get a good one for under $200 easy... but you need someone's help who really knows that kinda stuff, that's how i did it & i love my camera! Good luck!

Check out www.cnet.com. It has great reviews of cameras and you can request all the things you listed and it will come out with a camera. Good luck!
